Khrystyna Dziubakevych, operating as Ads4Bizz ("Service Provider," "I," "me," "my"), provides professional pay-per-click (PPC) advertising management services, including campaign strategy, creation, optimization, and reporting for Google Ads and Meta (Facebook/Instagram) advertising platforms. Services are customized based on agreed-upon scope and deliverables outlined in individual service agreements, proposals, or email confirmations.

0. Definitions

"Service Provider" means Khrystyna Dziubakevych, operating as Ads4Bizz.

"Client" or "You" means the business or individual contracting for services.

"Platforms" means Google Ads and Meta (Facebook/Instagram) advertising services.

"Services" means PPC advertising management, strategy, optimization, and reporting.

"Account" means your Google Ads account, Meta Business Manager, or other advertising accounts.

1. Service Description

Service Provider offers professional pay-per-click (PPC) advertising management services, including campaign strategy, creation, optimization, and performance reporting for Google Ads and Meta platforms. Specific services, deliverables, and scope are outlined in the signed service agreement, proposal, or email confirmation. Services do not include website development, copywriting, graphic design, or landing page creation unless explicitly agreed.

2. Client Responsibilities & Account Access

By engaging my services, you agree to:

Grant me full administrative access to your advertising accounts (Google Ads, Meta Business Manager) with appropriate permissions to create, edit, and manage campaigns

Provide accurate, complete, and timely information about your business, products, services, target market, and business goals

Ensure all advertising content, landing pages, offers, claims, and business practices comply with Google Ads policies, Meta policies, and applicable laws (consumer protection, data privacy, advertising standards)

Maintain adequate ad spend budgets as outlined in our service agreement; undersized budgets will limit campaign effectiveness

Promptly notify me of account changes, policy violations, technical issues, or performance concerns

Approve major campaign changes (defined in Section 2A below) before implementation

Maintain sufficient account funding to prevent campaign interruption

2A. Approval Thresholds

Service Provider will implement optimizations autonomously. However, I require your prior written approval (via email) before:

Increasing monthly budget by more than 20% or decreasing by more than 30%

Pausing all active campaigns simultaneously

Adding new product/service categories to advertising

Changing primary marketing message or value proposition

3. Service Level Agreement

Service Provider commits to the following:

Campaign monitoring: Review and optimize campaigns minimum 4 times per week

Bid management: Adjust bids based on performance data, CPA targets, and market conditions

A/B testing: Test ad copy, keywords, landing pages, and targeting quarterly minimum

Quality score management: Maintain Google Ads quality scores at 6 or above; notify of issues

Reporting: Provide performance reports minimum monthly

Communication: Respond to emails within 48 business hours (Monday-Friday, 9am-6pm CET)

3A. Availability & Unavailability

Service Provider manages campaigns during standard business hours (Monday-Friday, 9am-6pm CET). Emergency 24/7 support is not provided. During vacation (max 2 weeks annually), Service Provider will provide advance notice and may be unresponsive. Client should maintain secondary administrative access for emergency account needs. For extended illness or unavailability exceeding 2 weeks, Service Provider will notify Client within 48 hours.

4. Fees and Payment Terms

Fees are as specified in the signed service agreement, proposal, or email confirmation. Fees may include monthly management retainers, performance bonuses, project fees, or hourly rates. All fees are exclusive of ad spend (paid directly to Google/Meta), platform fees, applicable taxes, and VAT.

Invoices are issued monthly or as specified in our agreement. Payment is due within 30 days of invoice date via specified method (bank transfer, PayPal, Stripe). Invoices unpaid after 45 days will result in service suspension. Invoices unpaid after 60 days may result in legal collection action. Clients outside EU may be subject to additional payment processing fees.

Additional work beyond agreed scope is billable at Service Provider's standard rates: €75-€150/hour depending on complexity, or as separately quoted.

4A. Refund & Cancellation Policy

No refunds are issued for management fees once services have commenced, regardless of campaign performance or satisfaction. Unused ad spend belongs to Client and may be paused or redistributed at any time. If Client terminates mid-month, prorated fees are due through termination date.

5. Ad Spend Management & Performance Disclaimer

You are solely responsible for funding your advertising accounts and maintaining sufficient budget. You authorize Service Provider to manage bid strategies and budget allocation within your approved parameters and limits.

CRITICAL DISCLAIMER: Service Provider does NOT guarantee specific performance metrics, return on ad spend (ROAS), conversion rates, click volumes, or revenue. Advertising results depend on multiple factors including:

Market conditions, competition, and seasonality

Product quality, pricing, and availability

Landing page design, copy, and conversion optimization

Customer service, fulfillment, and product reviews

Platform algorithm changes and policy updates

Budget allocation and campaign structure

Service Provider will optimize campaigns according to agreed KPIs using industry best practices and available data. However, no results or performance levels are guaranteed.

6. Account Ownership & Transition

Client owns all advertising accounts, campaigns, audiences, conversion pixels, data, and performance history. Service Provider has access only to manage campaigns on Client's behalf. Upon termination of services:

Service Provider will provide comprehensive transition documentation within 5 business days, including campaign structures, keywords, audiences, bid strategies, and performance baselines

Service Provider will remove administrative access within 5 business days of termination

Client retains all account data, audiences, and conversion history indefinitely

Service Provider will not access, modify, or pause Client accounts after termination

7. Intellectual Property Rights

Client retains all intellectual property rights to: your brand name, business name, product images, marketing copy, trademarks, logos, and existing assets provided to Service Provider.

Service Provider retains ownership of: proprietary campaign strategies, optimization methodologies, bid management techniques, reporting templates, audience segmentation frameworks, keyword research processes, and tools developed independently during our engagement. These remain Service Provider's confidential intellectual property.

Client grants Service Provider permission to use anonymized, aggregated case studies and performance results (with Client name/branding removed) for portfolio and marketing purposes, unless Client explicitly opts out in writing.

Creative assets developed specifically for Client's campaigns (ad copy variations, ad graphics, landing page recommendations) are owned by Client upon payment in full. Service Provider retains right to use learnings and methodologies from these assets.

8. Mutual Confidentiality

Both parties agree to maintain confidentiality of sensitive business information, including campaign strategies, performance data, pricing, conversion data, business plans, and proprietary practices. Neither party will disclose this information to third parties except:

To employees, contractors, or service providers under equivalent confidentiality obligations

As required by law, court order, or regulatory authorities (with advance notice when possible)

This confidentiality obligation continues for 2 years after termination of services.

9. Platform Policies & Legal Compliance

Client warrants that all advertising content, landing pages, offers, claims, business practices, and products comply with:

Google Ads Policies and Google Merchant Center Policies

Meta Advertising Policies and Community Standards

Applicable consumer protection laws, advertising regulations, and industry standards

Data privacy laws (GDPR, CCPA, etc.) and intellectual property rights

Client is primarily responsible for legal compliance. Service Provider is NOT liable for account suspension, ad rejection, policy violations, consumer complaints, claims, or regulatory penalties arising from Client's content or business practices. Service Provider will notify Client promptly of any policy violations discovered and recommend corrective action.

10. Indemnification

Client agrees to indemnify, defend, and hold harmless Service Provider from any and all claims, damages, legal fees, and liabilities arising from:

Defective, illegal, or fraudulent products or services advertised

Misleading, false, or inaccurate advertising content provided by Client

Intellectual property infringement in Client-provided materials

Violations of Google/Meta policies caused by Client's content or business practices

Consumer complaints, lawsuits, or regulatory investigations

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING EU REGULATIONS), SERVICE PROVIDER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOSS OF DATA.

SERVICE PROVIDER'S TOTAL LIABILITY FOR ANY CLAIM IS CAPPED AT THE LESSER OF: (A) FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) €5,000.

This limitation applies to all claims arising from services, including negligence, breach of contract, platform algorithm changes, market fluctuations, competitor actions, or factors beyond Service Provider's reasonable control.

EXCEPTION: This liability cap does not apply to Service Provider's liability for gross negligence, willful misconduct, data protection law violations (GDPR, CCPA), or fraud.

12. Data Breach Notification

If Service Provider discovers unauthorized access to Client data or account credentials, Service Provider will notify Client within 24 hours via email to the contact address on file. For GDPR-regulated data, Client is responsible for notifying regulators within 72 hours if required. Service Provider will cooperate fully with investigation and remediation.

13. Consumer Rights (European Union)

If Client is a consumer (natural person acting for personal purposes), you have the right to cancel this agreement within 14 calendar days without penalty, except for services already rendered. To cancel, email info@ads4bizz.com with subject "Cancellation Request." Cancellation effective upon receipt.

14. Termination

Either party may terminate services with written notice (email acceptable) as specified in the service agreement. Standard notice period is 30 days. Upon termination, Service Provider will provide comprehensive account transition documentation and recommendations within 5 business days.

Client remains responsible for all accrued fees and invoices through the termination date. Service Provider may immediately suspend or terminate services without notice if:

Client violates these Terms of Service or service agreement

Client fails to pay invoices within 60 days

Client engages in illegal activity or misuses advertising platforms

Client's account is suspended by Google/Meta for policy violations

15. Force Majeure

Neither party is liable for failures or delays caused by circumstances beyond reasonable control, including: natural disasters, war, government actions, pandemics, strikes, internet outages, or platform unavailability. Service Provider will resume services as soon as reasonably possible.

16. Amendments & Updates

Service Provider reserves the right to update these Terms with 30 days' written notice via email. Changes take effect after notice. Your continued use of services after the effective date constitutes acceptance of updated terms.

17. Entire Agreement & Severability

This agreement, along with any signed service agreement or proposal, constitutes the entire agreement and supersedes all prior negotiations, representations, and understandings. Changes must be in writing and signed by both parties. If any section is found unenforceable by a court, remaining sections remain valid and enforceable.

18. Governing Law & Jurisdiction

These Terms of Service are governed by Polish law and the laws of the European Union (including GDPR). Disputes shall be resolved through:

Good-faith negotiation and communication within 30 days

Mediation or arbitration under EU regulations if unresolved

Court proceedings in the competent courts of Tychy, Poland (if applicable)

For consumers in the EU, mandatory consumer protection laws apply regardless of this clause.
